NC4 Announces Acquisition of Secure Internet Portal Provider, ESP Group

Combined Company to Provide Leading Integrated Solutions for Situational Awareness and Secure Internet Collaboration

EL SEGUNDO, CALIFORNIA – June 27, 2006 – NC4, a leader in situational awareness, incident monitoring and crisis management, today announced the acquisition of ESP Group LLC, a Virginia-based application service provider that specializes in secure internet portals.

The acquisition of ESP Group will solidify NC4’s leading position in real-time, 24/7 situational awareness and crisis management.

NC4 operates incident monitoring centers providing clients with customized alerts on breaking emergencies, as well as maps and various forms of media information on events as they unfold. NC4 also provides the E Team crisis and incident management solution, which gives government and corporate clients the situational response, interoperability and management capabilities to more effectively manage disasters, emergencies, other events and daily operational activities, as well as preparedness and training exercises.

The ESP Group (Extranet Secure Portals) develops and operates secure, internet collaboration systems for the public and private sector. The ESP Group will become a wholly-owned subsidiary of NC4.

ESP’s pioneering development of secure internet portals has enabled higher levels of security than previously possible with internet-based systems. ESP-operated systems incorporate and integrate extensive security measures at the user, network, application and physical levels.

“This acquisition will help NC4 provide customers with a broader range of secure solutions for clients who have requirements for secure communication and collaboration.” said NC4 President Jim Montagnino. “It will also benefit ESP customers by giving them integrated access to NC4’s unparalleled incident monitoring and management offerings. Together, we will provide our customers with fully-integrated, comprehensive solutions to their situational awareness and incident response needs.”

“This acquisition brings together real-time content necessary for situational awareness and the capabilities for large and broad communities to collaborate and coordinate their responses,” said ESP Group President and CEO William Potvin. “We are bringing together companies that have been delivering solutions on the ground rather than just selling tools. We share a similar client base, and the merged company will help us provide more effective and cost-efficient solutions to all customers.”

ESP will be integrated into the merged organization, and their senior executives William Potvin, Ron Register, George Johnson, Matt Donlon, Cliff Gregory, and Michael Sugerman will retain their current positions within the new structure.

About NC4

NC4, with incident monitoring centers on the east and west coasts of the United States, improves the situational awareness of both business and government clients by providing real-time, 24/7 proactive incident information, alerts and coordination services. NC4 issues timely, relevant and personalized alerts covering incidents near key locations that may impact organizations, operations and the health and safety of individuals.

In August 2005, NC4 acquired E Team Inc., which provides sophisticated software and planning tools to enable emergency managers to effectively process the massive amounts of information generated during a major event, crisis or disaster. E Team’s Windows-based, browser-accessible software has been used for project management during events ranging from political conventions to hurricanes, other natural disasters and man-made incidents.

NC4’s Incident Monitoring Centers (NIMCs) provide 24/7 coverage for all significant incidents that occur globally. This includes transportation, severe weather, hazmat, law enforcement, fire, terrorism, and other incidents that may impact employee health and safety or have the potential to cause business disruption. The NIMCs leverage thousands of information sources from the public and private sectors to provide early warning of incidents at the local, regional and national level. NC4’s proprietary technology continually scans all these sources of information globally for analysis by its 24/7 staff of analysts. Alerts are sent out according to geographic parameters set by the subscriber. Although all information sources that the NIMCs draw from are unclassified, the fused data often represents sensitive information that can be shared only via secure systems.
